Reporting to the ARBV CEO, the Manager Governance is a key member of the ARBV leadership team and advises on the development, implementation and delivery of a robust governance function for the ARBV. The primary purpose of this role is to (1) ensure the necessary mechanisms, frameworks, policies and processes are in place to meet the organisational, statutory and whole of government compliance and accountability requirements and (2) support the effectiveness of the board by monitoring that board policy and procedures are followed and providing for the end-to-end operation of the board and its committees. Please note this is a part time role of 0.6 (3 days per week) and we are currently working remotely pending an office refurbishment.

Reporting to the ARBV CEO, the Manager Governance is a key member of the ARBV leadership team and advises on the development, implementation and delivery of a robust governance function for the ARBV. The primary purpose of this role is to (1) ensure the necessary mechanisms, frameworks, policies and processes are in place to meet the organisational, statutory and whole of government compliance and accountability requirements and (2) support the effectiveness of the board by monitoring that board policy and procedures are followed and providing for the end-to-end operation of the board and its committees.

  • Develop and monitor ARBV's governance policies and practices and ensuring that organisational, statutory and whole of government compliance and accountability requirements are met
  • Provide specialist advice and support to the Board, Chief Executive Officer and leadership team on public sector governance practices, policies and expectations
  • Work collaboratively with DELWP to ensure alignment with governments requirements and best practice is maintained on governance and Board matters, for example Board induction practices and governance implications of legislative amendments
  • Monitor changes in relevant whole of government policies and procedures, reporting frameworks and timelines to ensure compliance with government requirements
  • In collaboration with the CEO, coordinate the annual Board Strategy planning process, develop the strategic plan and priority actions, monitor and report against deliverables
  • Coordinate ARBV's overarching policy framework to ensure policies and procedures are developed and reviewed in line with the framework
  • Provide advice on ARBV's annual reporting requirements and timeframes to ensure compliance with government reporting requirements 
  • Management of Schedule of Delegations 
  • Coordinate all responses to departmental and ministerial requests
  • Provide governance support and advice to the Board to ensure appropriate governance standards and legally required regulatory filings are in place, for example:
    • register of Directors
    • advice on conflict-of-interest issues as they relate to the operation of the Board
    • oversight of annual Director compliance and attestation processes
    • induction of all new Board members
  • Implement and keep updated Board and Committee Charters, terms of reference, policies and procedures, which are required by law, VPS Governance standards or under good governance practices
  • Deliver an end-to-end operation of the ARBV Board and its committees including coordination and distribution of board papers, attending meetings of the board and committees and preparation of minutes of those meetings
  • Organise and prepare CEO and senior management for Board and Committee meetings, facilitating ongoing communication and advising management on actions arising from Board and Committee meetings and giving practical effect to the Board's decisions
  • Manage administrative arrangements associated with meetings including development and maintenance of a Forward Agenda Program and Forward Calendar
  • Provide guidance to the Board on an appropriate and sound governance framework reflecting contemporary Board practice
  • Maintenance of the Board Manual
